Date of Termination. Executive's employment shall terminate, and the effective date of termination of Executive's employment (the "Date of Termination") shall be as follows: (i) if Executive's employment is terminated due to Executive's death pursuant to Section 7(a) of this Agreement, the date of Executive's death, as stated on the death certificate, shall be the Date of Termination; (ii) if Executive's employment is terminated by the Company, with or without Cause, the Date of Termination shall be the date set for...th in the Notice of 5 Termination and delivered to Executive, as set forth in Section 17 below; (iii) if Executive's employment is terminated by Executive without Good Reason pursuant to Section 7(d) of this Agreement, the Date of Termination shall be (30) days after delivery to the Company of a Notice of Termination as set forth in Sections 7(d) and 17 of this Agreement; provided further, that in the event of termination of Executive's employment hereunder without Good Reason, the Company may, in its sole and absolute discretion, accelerate such Date of Termination by delivering to Executive a written notice of such acceleration, as set forth in Section 17 below; and (vi) if Executive's employment is terminated by Executive for Good Reason pursuant to Section 7(d) of this Agreement, the Date of Termination shall be the date upon which a Notice of Termination is delivered to the Company, as set forth in Sections 7(d) and 16 of this Agreement.
