You agree to comply with all written policies of the Company applicable to consultants. (b) In consideration for the consulting services, during the Consulting Period the Company will pay you consulting fees in the amount of $37,500.00 per month, payable monthly in arrears and subject to any applicable withholding. The Company retains the right to terminate the consulting services for any reason, subject to the Company's obligations to pay all fees that would otherwise have become payable during the remainder of the Consulting Period in a lump sum within 30 days of such termination. 2 4. Non-Disparagement. The Company agrees that it will not issue any press release or authorize any person make any official public statement that disparages you; provided however, that nothing in the foregoing shall be deemed to prevent the Company from complying with its disclosure obligations under applicable law, legal process, subpoena, the rules of any stock exchange, or legal requirement or as part of a response to an request for information from any governmental authority with jurisdiction over the party from whom information is sought.
