Beneficiary Designation. Each Participant may designate a beneficiary under the Plan with respect to the Participant's Fees Account in the manner and form as determined by the Committee. In the event no valid designation of beneficiary exists at the time of the Participant's death, the Participant's Fees Account shall be paid to the Participant's surviving spouse; provided, however, if the Participant does not have a surviving spouse, the Participant's Fees Account shall be paid to the Participant's estate.
