Attorney-in-fact. 4.1 Appointment of the Agent as the Borrowers' Attorney-in-Fact. Each Borrower hereby irrevocably designates, makes, constitutes and appoints the Agent (and all Persons designated by the Agent in writing to the Borrowers) as such Borrower's true and lawful attorney-in-fact, and authorizes the Agent, in such Borrower's or the Agent's name to do all acts and things which are necessary, in the Agent's reasonable discretion, to fulfill the Borrowers' obligations under this Agreement.
