Assignments. This Agreement, and all of the terms and conditions hereof, shall bind the Company and its successors and assigns and shall bind Executive and Executive's heirs, executors, and administrators. No transfer or assignment of this Agreement shall release the Company from any obligation to Executive hereunder. Neither this Agreement, nor any of the rights or obligations created hereunder, may be assigned or are otherwise subject to hypothecation by the Company or Executive. Subject to any limitations... under the Founders Agreement, the Company may assign the rights and obligations of the Company hereunder, in whole or in part, to any of its Subsidiaries that is sufficiently capitalized or that is the beneficiary of a Company guarantee to satisfy the obligations hereunder, or to any other successor or assign in connection with the sale of all or substantially all of the Company's assets or equity or in connection with any merger, acquisition and/or reorganization, provided the assignee assumes the obligations of the Company hereunder, and provided that such assignment does not adversely affect Executive's rights under this Agreement, expand the scope of any Restrictive Covenants, or impair Executive's rights to resign for Good Reason.View More
