Subject to the terms and conditions hereof, the Company agrees to sell, and Purchaser agrees to purchase Two Twelve Thousand Nine Three Hundred Seventy Eight (2,978) Ninety Five (12,395) shares (the "Shares") of the Company's common stock, $0.0001 par value per share (the "Common Stock"), at a purchase price of $3.60 per Share for an aggregate purchase price of $10,721 $44,621 (the "Purchase Price"). The Purchase Price shall be paid by the conversion of a dividend payable in the amount of $10,721 $44,621 on the Company's Series B-1 Convertible Preferred Stock (the "Series B-1 Preferred") presently due and payable to the Purchaser. Whenever possible, each provision of this Agreement will be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect under any applicable law or rule in any jurisdiction, such invalidity, illegality or unenforceability will be lessened or reduced to the extent possible or will be severed and will not affect any other provision and this Agreement will be reformed, construed and enforced in such jurisdiction as if such invalid, illegal or unenforceable provision had never been contained herein. The waiver of any breach of any provision of this Employment Letter will not operate or be construed as a waiver of any subsequent breach of the same or other provision of this Employment Letter.
