Applicable Law. This Agreement and these PSUs shall be governed by and construed in accordance with the laws of the State of Delaware.

Applicable Law. This Agreement and the Confirming Release shall be construed according to the laws of the State of Texas without regard to its conflict of laws principles that would result in the application of the laws of another jurisdiction; provided, however, that Section 3(b) and Section 3(c) shall be governed by the laws of the State of Delaware, excluding any conflicts of law principles that might refer such construction to the laws of another jurisdiction.
