EMPLOYEE BENEFITS. (a) BENEFIT PLANS. During the Employment Term, the Executive shall be entitled to participate in any employee benefit plan that the Company has adopted or may adopt, maintain or contribute to and which benefit any of the senior executives of the Company, on a basis no less favorable than that applicable to any such senior executives, subject to satisfying the applicable eligibility requirements, except to the extent such plans are duplicative of the benefits otherwise provided hereunder. The Executive's participation in any such employee benefit plan shall be subject to the terms of the applicable plan documents and generally applicable Company policies. Notwithstanding the foregoing, the Company may modify or terminate any employee benefit plan at any time, if and to the extent allowed pursuant to the terms of such plan, provided that any such amendment may have no more adverse effect on the Executive than on any other participant in such plan. The Company may provide perquisites to the Executive at the discretion of the Board. (b) VACATIONS. During the Employment Term, the Executive shall be entitled to paid vacation in accordance with the Company's policy on accrual and use applicable to employees as in effect from time to time, currently calculated as twenty-seven (27) days annually for the Executive. (c) BUSINESS EXPENSES. Upon presentation of reasonable substantiation and documentation as the Company may specify from time to time, the Executive shall be reimbursed in accordance with the Company's expense reimbursement policies as in effect from time to time, for all reasonable out-of-pocket business expenses incurred and paid by the Executive during the Employment Term and in connection with the performance of the Executive's duties hereunder. For the avoidance of doubt, the Executive may not carry forward unused vacation days annually for the Executive. from one calendar year to a future calendar year. (c) BUSINESS EXPENSES. Business and Entertainment Expenses. Upon presentation of reasonable substantiation and documentation as the Company may specify from time to time, the Executive shall be reimbursed in accordance with the Company's expense reimbursement policies as in effect from time to time, policy, for all reasonable and necessary out-of-pocket business business, travel and entertainment expenses incurred and paid by the Executive during the Employment Term and in connection with the performance of the Executive's duties hereunder. hereunder; provided, however, that the Executive shall be entitled to commercial air travel for business purposes in business or first class. (d) Legal Fees. Upon presentation of reasonable substantiation and documentation, the Company shall pay or reimburse the Executive for all legal fees incurred by the Executive in connection with the negotiation and drafting of this Agreement and the related agreements in the amount of $60,000, which will be paid within thirty (30) days following the Effective Date, subject to the Executive's continued employment with the Company at the time of such payment. (e) Indemnification. The Company hereby agrees to indemnify the Executive and hold the Executive harmless to the maximum extent permitted under Delaware law and provided for under the organizational documents of the Company and Tempo Management, LLC ("TM"), as in effect on the date hereof or as may be subsequently modified from time to time, against and in respect of any and all actions, suits, proceedings, claims, demands, judgments, costs, expenses (including advancement of reasonable attorney's fees), losses, and damages resulting from the Executive's good faith performance of the Executive's duties and obligations with the Company. The Company will provide coverage to the Executive under a Directors & Officers liability insurance policy covering other executives of the Company.
