Agreement. Provided that the Executive remains employed by the Company as of the date on which the registration statement relating to the Company's initial public offering (the "IPO") is effective (the "Effective Date"), this Agreement shall be effective as of such date. As of the Effective Date, the Executive shall continue to be an employee of the Company until such employment relationship is terminated in accordance with Section 7 hereof (the "Term of Employment").
