(the "Company") has adopted this Amended and Restated Executive Severance and Change in Control Benefit Plan (the "Plan") to provide severance pay and benefits to eligible officers and management employees of the Company who are Eligible Executives (as defined below) and whose employment is terminated on or after July 28, 2016.
