Accounts. The Company shall credit the Performance Shares to a bookkeeping account (the "Account") maintained by the Company for the Grantee's benefit. Upon the occurrence of an event set forth in Section 12.2 of the Plan, the number of Performance Shares credited to the Account shall be equitably and appropriately adjusted as provided in that Section.

Borrower shall keep good and proper accounts of expenditures of the Loan Amount or the Optional Additional Loan Amount, and shall at the request of Lender at any time and in any case not less frequently than on the last day of each month while any part of the Loan Amount or of the Optional Additional Loan Amount remains outstanding, provide to Lender copies of such accounts.
