Acceleration of Options Change in Control. If within twelve (12) months following a Change in Control (as defined above) the Company or the successor corporation terminates Executive's employment with the Company or successor corporation for other than Cause, death or Disability, then Executive shall be entitled to acceleration of 100% of Executive's then-unvested and outstanding equity awards.
