Summary
Wild Oats Markets, Inc. agrees to support Sam Martin's relocation from Green Bay, Wisconsin, to Boulder, Colorado. The company will pay him $25,000 (grossed up for taxes), cover his mortgage and maintenance costs until his home is sold, and may pay off the mortgage and take ownership of the property for resale. The company will also be responsible for accepting the final sale price offer on the home.

Please be advised that the Company’s commitment to you for relocation from Green Bay, Wisconsin, to Boulder, Colorado, is as follows:

| • | Company will continue to pay mortgage and maintenance on a monthly basis and/or pay off mortgage and take title of property for resale. |
