Western Alliance Bancorporation Directors Fee Schedule for 2005
This document outlines the fees paid in 2005 to outside directors of Western Alliance Bancorporation for serving on the boards of its subsidiary banks. Directors receive annual retainers and per-meeting fees for BankWest of Nevada, Alliance Bank, and Torrey Pines Bank. The Chairman of the Audit Committee receives an additional annual retainer. No separate fees are paid for serving as a director of Western Alliance itself.

The following sets forth the amount of fees payable in fiscal year 2005 to each outside director of Western Alliance Bancorporation for his or her service as a director of one or more of Western Alliance’s subsidiary banks. No separate fees are paid to directors in their role as directors of Western Alliance.
