Assignment and Assumption Agreement between PF.NET Network Services Corp., PF.Net Supply Corp., and Lucent Technologies, Inc.

Summary

PF.NET Network Services Corp. is transferring all its rights and obligations under a Master Supply, Services and Systems Agreement with Lucent Technologies, Inc. to PF.Net Supply Corp. As of October 29, 1999, PF.Net Supply Corp. will take over all responsibilities and benefits of the original agreement. Lucent Technologies, Inc. has given its consent to this transfer. The agreement ensures that all references to the original party in the contract now refer to the new party.

("Assignor"), and PF.Net Supply Corp., a Delaware corporation ("Assignee"). WITNESSETH: In consideration of Ten Dollars ($10.00) and such other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Assignor hereby assigns all of its rights in and to the Master Supply, Services and Systems Agreement (contract no.
