Agreement to Renew Advisory Agreement between Universal Health Realty Income Trust and UHS of Delaware, Inc.
Universal Health Realty Income Trust and UHS of Delaware, Inc. have agreed to renew their existing Advisory Agreement for another year, until December 31, 2004. The renewal keeps all terms and conditions the same as the previous agreement. UHS of Delaware, Inc. confirms acceptance by signing and returning the letter. This agreement ensures the continued advisory relationship between the two parties for the specified period.

Dear Alan:
The Board of Trustees of Universal Health Realty Income Trust, at their December 1, 2003 meeting, authorized the renewal of the current Advisory Agreement between the Trust and UHS of Delaware, Inc. (“Agreement”) upon the same terms and conditions.
This letter constitutes the Trust’s offer to renew the Agreement, until December 31, 2004, upon the same terms and conditions. Please acknowledge UHS of Delaware’s acceptance of this offer by signing in the space provided below and returning one copy of this letter to me.
