Summary
This document outlines the compensation plan for directors of United States Lime & Minerals, Inc. who are not company employees. Non-employee directors receive an annual retainer of $15,000, plus fees for attending meetings ($1,000 per day in person, $500 by phone). Additional annual retainers are provided for chairing the Audit ($12,000) and Compensation ($5,000) Committees. Each non-employee director is also granted 2,000 stock options annually, exercisable immediately at the market price on the grant date, under the company's 2001 Long-Term Incentive Plan.

Non-employee directors also will continue to be granted 2,000 ten-year stock options annually, on the date of election or reelection, under the Companys 2001 Long-Term Incentive Plan. The stock options will be granted with an exercise price equal to the market price of the Companys stock on the date of grant and will be exercisable immediately.
