Summary
This document outlines the annual compensation for non-employee directors of Union Bankshares Corporation, effective January 1, 2017. Directors receive a base cash retainer of $25,000, with additional fees for serving as Chairman, Vice Chairman, or committee chairs. Committee members and those attending executive committee meetings also receive extra compensation. In addition to cash payments, non-employee directors are granted an annual stock retainer of $35,000, paid quarterly in unrestricted company shares. All cash retainers are paid in advance in quarterly installments.
