Summary
This document outlines the compensation structure for directors of UGI Corporation as of October 1, 2010. Directors who are not officers or employees receive an annual cash retainer, stock units, and stock options. Additional cash retainers are provided for service on certain board committees, with higher amounts for committee chairpersons. Stock units and options are granted under the company's 2004 Omnibus Equity Compensation Plan. Directors who are also employees do not receive this compensation for board service.
