Summary
This document outlines the compensation structure for non-employee directors of UGI Corporation, effective October 1, 2016. Non-employee directors receive an annual cash retainer and equity awards in the form of stock units and stock options. Additional cash and equity compensation is provided for directors serving as Independent Chairman or as chairpersons or members of key board committees. Directors who are also employees or officers do not receive compensation for board service. Equity awards are granted under the company's 2013 Omnibus Incentive Compensation Plan and are scheduled for award in January 2017.
