THE SHARES OF THE COMPANY ARE SUBJECT TO CERTAIN POWERS, DESIGNATIONS, PREFERENCES AND RELATIVE, PARTICIPATING, OPTIONAL AND OTHER SPECIAL RIGHTS OF EACH CLASS OF STOCK OR SERIES THEREOF AS SET FORTH IN THE COMPANY'S CERTIFICATE OF INCORPORATION, AS FILED WITH THE DELAWARE SECRETARY OF STATE, AS AMENDED FROM TIME TO TIME.
