Summary
This amendment updates the Sybase, Inc. 401(k) Plan by changing how the plan's administrative committee is formed and clarifying indemnification for committee members and fiduciaries. The committee will now consist of specific company officers and any additional members they elect. The amendment also ensures that employees, officers, directors, and committee members are protected from liability for actions taken in good faith while managing the plan, except in cases of gross negligence or willful misconduct. These changes are effective as of August 22, 2006.
