Renewal of Employment Agreement between William J. Reuter and Susquehanna Bancshares, Inc.

Summary

This agreement renews the employment of William J. Reuter with Susquehanna Bancshares, Inc. for an additional three years, starting February 28, 2004. The renewal continues under the terms of the original employment agreement dated March 12, 2001, as amended, with a specified base salary of $541,190 per year. All other terms and conditions from the original agreement remain in effect.

EMPLOYMENT AGREEMENT BETWEEN

WILLIAM J. REUTER AND

SUSQUEHANNA BANCSHARES, INC.

As of February 28, 2004, the employment of William J. Reuter is hereby deemed to be renewed for three (3) years under the terms and conditions per the Employment Agreement dated March 12, 2001 (but effective as of February 28, 2001), as amended.

The base salary as per Section 4.1 will be $541,190.00 per year.
