Amendment No. 1 to Amended and Restated Director Compensation Plan of ModusLink Global Solutions, Inc.
This amendment updates the Amended and Restated Director Compensation Plan for ModusLink Global Solutions, Inc. by replacing all references to the former company name, CMGI, Inc., with the current name, ModusLink Global Solutions, Inc. The amendment was adopted by the company's Board of Directors on September 24, 2008. No other substantive changes to the compensation plan are made by this amendment.

AMENDMENT NO. 1 TO
AMENDED AND RESTATED DIRECTOR COMPENSATION PLAN
The Amended and Restated Director Compensation Plan (the “Plan”) of ModusLink Global Solutions, Inc., a Delaware corporation, is hereby amended by deleting all references to “CMGI, Inc.” and substituting in lieu thereof “ModusLink Global Solutions, Inc.”
