Sprint Retention Award Letter Agreement with Roger Sole-Rafols (January 18, 2017)

Summary

Sprint has offered Roger Sole-Rafols a one-time retention incentive payment of $200,000, to be paid on January 27, 2017, in recognition of his critical role at the company. Roger must remain employed with Sprint for 12 months after the payment date to keep the incentive, unless his employment ends due to company-initiated termination without cause, death, or disability. If he leaves before the 12-month period for other reasons, he must repay the incentive. The agreement is confirmed by Roger's signature.

Dear Roger:

I am pleased to inform you that the Compensation Committee approved you to receive a special retention incentive because of your critical role in the company.

This retention incentive consists of one payment to be made on January 27, 2017 totaling $200,000.

Your signature indicates that you agree to repay the retention incentive if you are no longer employed by the Company (unless employment is terminated by the Company without cause, or is due to death or disability) through the 12-month anniversary of the January 27, 2017 payment date.
