Amendment to Management Agreement between Mantra Venture Group Ltd. and Q4 Financial Group Inc. (Effective July 1, 2009)

Summary

Mantra Venture Group Ltd. and Q4 Financial Group Inc. have agreed to amend their existing management agreement, effective July 1, 2009. The amendment reduces the monthly payment to Q4 Financial Group Inc. to $2,500. In exchange, Q4 Financial Group Inc. is required to spend less time on the company's affairs each month. Both parties have accepted and signed the revised terms.

Re:	Amendment to Management Agreement

Mantra Venture Group Ltd. (the “Company”) wishes to amend the Management Agreement entered into on January 7, 2009, and further amended on March 1, 2009, to decrease the amount paid to your company to US $2,500 per month. In consideration for this decrease in compensation, the Company agrees to decrease the amount of time required to be spent by you on the Company’s affairs on a monthly basis.
