(7) that Holders electing to have their Notes purchased pursuant to a Change of Control Offer must specify the principal amount that is being tendered for purchase, which principal amount of the portion of Notes tendered must be equal to $2,000 or an integral multiple of $1,000 thereafter;
(8) any conditions to the Change of Control Offer;
(9) the procedures determined by the Company, consistent with the Indenture, that a Holder must follow in order to have its Notes purchased; and
(10) any other information necessary to enable any Holder to tender Notes and to have such Notes purchased pursuant to the Indenture.
Change of Control Payment Date means a Business Day no earlier than 30 calendar days nor later than 60 calendar days subsequent to the date that a Change of Control Notice is mailed (or, when the Securities or Global Securities, give pursuant to the applicable procedures of the applicable Depositary) (other than as may be required by law).
Credit Agreement means that certain Credit Agreement, dated as of April 26, 2018, by and among the Company, JPMorgan Chase Bank, N.A., as administrative agent, and the lenders from time to time party thereto, as amended, restated, modified, renewed, refunded, replaced in any manner (whether upon or after termination or otherwise) or refinanced in whole or in part from time to time, in each case with one or more reserve-based borrowing base credit facilities with lenders that include commercial banks regulated by the U.S. Office of the Comptroller of the Currency.
Credit Facilities means one or more debt facilities (including, without limitation, the Companys senior credit facility), indentures or commercial paper facilities, in each case with banks, investment banks, insurance companies, mutual funds and/or other institutional lenders or investors providing for debt financing, revolving credit loans, term loans, receivables financing (including through the sale of receivables to such lenders or to special purpose entities formed to borrow from (or sell receivables to) such lenders against such receivables) or letters of credit, in each case, as amended, extended, restated, renewed, refunded, replaced or refinanced (in each case with credit facilities), supplemented or otherwise modified (in whole or in part and without limitation as to amount, terms, conditions, covenants and other provisions) from time to time.
Disqualified Stock means any Capital Stock that, by its terms (or by the terms of any security into which it is convertible, or for which it is exchangeable, in each case, at the option of the holder of the capital stock), or upon the happening of any event, matures or is mandatorily redeemable, pursuant to a sinking fund obligation or otherwise, or redeemable at the option of the holder of the Capital Stock, in whole or in part, on or prior to the date that is 91 days after the date on which the Notes mature, in each case other than in exchange for Capital Stock of the Company (other than Disqualified Stock) or of any direct or indirect parent of the Company.
