Summary
This document outlines the compensation program for the Board of Directors of ScanSource, Inc., effective July 1, 2024. All directors receive an annual cash retainer of $90,000 and an equity grant valued at $160,000. Additional cash retainers are provided for the Board Chair ($70,000), Audit Committee Chair ($25,000), Compensation Committee Chair ($20,000), and other committee chairs ($15,000). Cash payments are made quarterly, and directors are reimbursed for reasonable travel and related expenses.
