Amendment to Warrant Agreement between Sanguine Corporation and Westbury Consultancy Services Ltd.

Summary

Sanguine Corporation and Westbury Consultancy Services Ltd. have agreed to amend their existing Warrant Agreement. Westbury will reduce the term of its warrants from five years to one year from the effective date of Sanguine's Registration Statement. In exchange, Sanguine will lower the exercise price of the warrants from $0.30 to $0.25 per share. This amendment is effective upon Westbury's acceptance, as confirmed by Dr. Louis Leclerc.
