Board of Directors Compensation Policy for SOG Partnership
This agreement outlines the compensation for independent directors of SOG Partnership. Directors receive a $10,000 annual cash retainer, paid quarterly, and a $100,000 annual equity grant, with pro rata adjustments for new appointees. Additional fees are paid for attending board and committee meetings, and committee chairs receive extra retainers. Independent directors are also eligible for health, life, and accidental death insurance benefits. The policy excludes directors appointed by Class B Preferred Holders, officers, and those with ownership in SP Holdings, LLC.

Other Benefits | Independent Directors are eligible to participate in the basic health benefits package available to SOG employees. Additionally, the Independent Directors are eligible for life and accidental death and dismemberment insurance. |
*Includes all persons serving as directors, excepting those appointed by the Class B Preferred Holders, Officers and those with ownership interests in SP Holdings, LLC.
+For any person who ceases to serve during the fiscal quarter prior to such payment date, such person shall receive a pro rata amount for the portion of the fiscal quarter so served.
