SailPoint Technologies Holdings, Inc. has established a compensation policy for its non-employee directors, effective November 21, 2017. Under this policy, non-employee directors receive an annual cash retainer, additional cash retainers for serving as committee members or chairpersons, and an annual equity retainer in the form of restricted stock units. Compensation is paid quarterly and is prorated for partial years of service. The policy may be revised by the Board or its Compensation Committee at any time.

This document summarizes the non-employee director compensation policy of SailPoint Technologies Holdings, Inc. (the “Company”) adopted by the Board of Directors of the Company (the “Board”) effective November 21, 2017, but subject to revision from time to time by the Board or its Compensation Committee.
The non-employee members of the Board of Directors (the “Board”) of SailPoint Technologies Holdings, Inc. (the “Company”) will be entitled to receive the following compensation during each year of service as a director:
