Extension Letter to Executive Transition Agreement between RTI Surgical, Inc. and Brian K. Hutchison
RTI Surgical, Inc. and its President & CEO, Brian K. Hutchison, have agreed to extend the term of Mr. Hutchison's Executive Transition Agreement, originally dated August 29, 2012. The agreement, which was set to expire, will now remain in effect through December 31, 2015, with all other terms and conditions unchanged. Both parties have acknowledged and accepted this extension in writing.

Your Executive Transition Agreement with RTI Surgical, Inc., dated August 29, 2012, is about to expire. This letter will memorialize our agreement that your Executive Transition Agreement is hereby extended through December 31, 2015, and its terms and conditions shall otherwise be unchanged. If the above reflects your understanding, please execute a copy of this letter in the place indicated below and return it to me.
