Amendment to Employment Agreement between Resource Bancshares Mortgage Group, Inc. and Douglas K. Freeman

Resource Bancshares Mortgage Group, Inc. and Douglas K. Freeman have agreed to extend Mr. Freeman's employment as Chief Executive Officer for an additional year, changing the contract end date from December 31, 2001 to December 31, 2002. All other terms of the original employment agreement remain unchanged. This amendment is effective upon acceptance and signature by Mr. Freeman.
