Amendment to Employment Agreement between Realogy Corporation and Richard A. Smith (September 10, 2012)
This amendment updates the employment agreement between Realogy Corporation and Richard A. Smith, originally dated April 10, 2007. The main change is to extend the initial term of Mr. Smith’s employment, setting the new end date as April 9, 2016. All other terms of the original agreement remain unchanged and in effect.

Amendment to Employment Agreement
Dated September 10, 2012 between Realogy Corporation (the Company)
and Richard A. Smith (the Executive).
WHEREAS, the Company and the Executive are parties to that certain Employment Agreement, dated as of April 10, 2007; and
WHEREAS, the Company and Executive desire to amend that Employment Agreement with an extension to the Employment Period (as defined in the Employment Agreement).
NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follow:
1. | Section 1 of the Employment Agreement is hereby amended to change the end of the Initial Term of the Agreement from the fifth anniversary of the Effective Date to April 9, 2016. |
2. | Except as otherwise provided in this Amendment, the Employment Agreement shall remain in full force and effect. |
