Racing Champions Ertl Corporation and Peter Henseler have agreed to extend the term of Henseler's existing employment agreement, originally set to expire on April 30, 2002, until July 31, 2002. All other terms and conditions of the original employment agreement remain unchanged. This extension is confirmed and accepted by both parties as of April 30, 2002.
