Quaker City Bank Change in Control Agreement Renewal and Extension Acknowledgment with Hank H. Kadowaki
Quaker City Bank and Hank H. Kadowaki have agreed to renew and extend their existing Change in Control Agreement. The agreement now has a new term of twenty-four months, lasting until June 30, 2005. This renewal was approved by the bank's Board of Directors and is acknowledged by both parties. The agreement outlines protections or terms for Mr. Kadowaki in the event of a change in control at Quaker City Bank.

The undersigned participant does hereby acknowledge that, at their regularly scheduled meeting on June 19, 2003, the Board of Directors of Quaker City Bank acted to renew and extend the Quaker City Bank Change in Control Agreement with the undersigned participant to a full twenty-four (24) month term, until June 30, 2005.
