Summary

Qingdao Hongguan Footwear Ltd. and Tao Wang have agreed that Tao Wang will be responsible for paying all of the company's tax liabilities for three consecutive one-year periods from December 29, 2006, to December 28, 2009, except for any taxes the company has already paid. Each party will keep a signed copy of the agreement. This arrangement clearly assigns tax payment responsibility to Tao Wang for the specified periods.

Party A and Party B after friendly negotiation have agreed that Party B will be responsible for Party A’s all tax payable from Dec 29th 2006 to Dec 28th 2007.

(Except the portion Party A has already paid)

Hereby, there are two copies of the agreement, and each party shall hold one.
