This document is an amendment to the employment agreement between PriceSmart, Inc. and Kurt A. May. Effective October 1, 1999, Mr. May's base salary is increased from $200,000 to $225,000. All other terms of the original employment agreement remain unchanged. Both parties have signed to acknowledge and accept this amendment.
