PriceSmart, Inc. and Thomas D. Martin have agreed to amend Mr. Martin's Employment Agreement, effective October 1, 1999, to increase his base salary from $155,000 to $170,000. All other terms and conditions of the original Employment Agreement remain unchanged. Both parties have signed to acknowledge and accept this amendment.
