NO. 1 TO AMENDED & RESTATED INVESTOR RIGHTS Exhibit 4.2 Amendment No. 1 to Amended and Restated Investor Rights Agreement This Amendment No. 1, dated November 13, 2000 amends that certain Amended and Restated Investor Rights Agreement, dated as of May 2, 2000 (with subsequent closings on May 12 and 18, 2000) (the "Agreement"), of Plumtree Software, Inc. (the "Company"). Certain defined terms used but not defined herein shall have the respective meanings assigned to such terms in the Agreement. The Agreement is hereby amended to add the following section: "Section 2.14 Limitation of Rights. Notwithstanding anything to the contrary in this Agreement, the provisions of Section 2.3, including, without limitation, all registration rights set forth therein, shall not apply to the Company's proposed Initial Offering approved by the Company's Board of Directors on September 7, 2000."
