Summary

This document outlines the administration of the 2004 Officers Variable Incentive Plan for Pinnacle West. The Chief Executive Officer, with approval from the Human Resources Committee of the Board, selects participating officers, sets their participation levels, and defines financial and operational goals each year. The CEO evaluates each officer's performance, but final decisions on incentive payments are at the sole discretion of the Human Resources Committee. Achieving set goals is one factor in determining awards, but not the only consideration.

The impact, if any, of each officer's performance on his or her variable pay award is determined by the Chief Executive Officer, with the approval by the Human Resources Committee. However, the calculation and the amount of payment, if any, under this Plan are in the sole discretion of the Human Resources Committee of the Board of Directors. Accordingly, achievement of financial and operational goals is just one method that may be utilized to measure performance.
