Parker-Hannifin Corporation Non-Employee Directors’ Restricted Stock Award Agreement
This agreement is between Parker-Hannifin Corporation and a non-employee director, granting the director a specified number of restricted shares of company common stock. The shares are awarded under the company’s 2004 Non-Employee Directors’ Stock Incentive Plan and are subject to certain terms and conditions. The restrictions on the shares will lapse at the next Annual Shareholders’ Meeting after the grant date, at which point the shares vest. The director must review and accept the terms to receive the award.
