Summary

P. H. Glatfelter Company has entered into Change in Control Employment Agreements with several employees, including John R. Anke, Robert L. Inners II, Carroll L. Missimer, Markus R. Mueller, Dante C. Parrini, Mark W. Pitts, Werner Ruckenbrod, C. Matthew Smith, William T. Yanavitch, and Peter M. Yaffe. These agreements, effective as of December 31, 2000 (or December 31, 2001 for one employee), provide terms for employment in the event of a change in company control. The agreements are identical to one previously filed and incorporated by reference.
