Summary
Ophthalmic Imaging Systems (OIS) has appointed William D. Greer to its Board of Directors. In return for his service, Mr. Greer will receive an annual retainer of $15,000, paid in four quarterly installments of $3,750, for attending up to three board meetings per quarter. If he attends more than three meetings in a quarter, he will be compensated at $100 per hour, up to $500 per day. The agreement is confirmed by Mr. Greer's signature and acceptance.

The Company will pay an annual retainer in the amount of $15,000, payable in 4 equal quarterly instalglments of $3,750 for your attendance at up to 3 Board meetings per quarter. For your services in attending meetings in excess of 3 per quarter, the Company will pay you at the rate of $100 per hour up to a maximum of $500 per day.
