Onvia 2017 Management Incentive Plan Agreement

Summary

This agreement outlines Onvia's 2017 Management Incentive Plan for its executive team, including the President and CEO, CFO, CTO, SVP of Product, SVP of Marketing, and VP of Human Resources. The plan ties executive bonuses to company performance metrics—bookings, EBITDA, and individual objectives—each with specific weightings and payout thresholds. Bonuses are awarded based on achieving or exceeding these targets, with reduced or no payouts if minimum thresholds are not met. The plan is designed to align executive compensation with shareholder interests and incentivize achievement of key corporate goals.
