Amendment to Management Retention Agreement between Olympic Steel, Inc. and Richard T. Marabito

Summary

Olympic Steel, Inc. and its officer, Richard T. Marabito, have amended their existing Management Retention Agreement. The amendment increases the severance compensation Marabito would receive if his employment ends following a change in control of the company. Specifically, he will now receive a lump-sum payment equal to twice the average of his base salary, bonus, and certain benefits from the past three years, paid within 30 days of termination. This change aligns his severance with benefits provided under his employment agreement.
