Old Dominion Freight Line, Inc. Non-Executive Director Compensation Structure (Effective January 1, 2011)
This document outlines the compensation structure for non-executive directors of Old Dominion Freight Line, Inc., effective January 1, 2011. Non-executive directors receive an annual retainer of $55,000. Additional annual retainers are provided to the Lead Independent Director ($20,000), Audit Committee Chairman ($20,000), Compensation Committee Chairman ($10,000), and Governance and Nomination Committee Chairman ($10,000). These additional amounts are paid on top of the base retainer. The structure applies only to non-executive directors and specifies the compensation for various board roles.
