Amendment to Employment Agreement between NuVox, Inc. and Charles S. Houser

Dear Charlie:

Reference is made to the Employment Agreement between us dated as of October 31, 2000, which is hereby amended as follows:

	1.	The date “October 31, 2002” in Section 3 is amended to read “October 31, 2003.”
	2.	The following sentence is added at the end of Section 4 (c): “Employee’s benefits shall include the following which have been awarded as of October 16, 2001: 2001 Performance Plan: Participation Grant - 2.00% 2001 Stock Incentive Plan: Series F-1 Options - 400,000 shares @ $0.59 per share.”
