Annual Renewal of Investment Management Agreements between Nuveen Funds and Nuveen Senior Loan Asset Management Inc.

Summary

This agreement renews the investment management arrangements between Nuveen Floating Rate Fund and Nuveen Senior Income Fund (both Massachusetts business trusts) and Nuveen Senior Loan Asset Management Inc. (a Delaware corporation). The Adviser will continue to provide investment management and related services to the Funds. The renewal extends the original agreements until August 1, 2002, as approved by the Funds' Boards of Trustees in accordance with the Investment Company Act of 1940. All other terms of the original agreements remain unchanged.

NOW THEREFORE, in consideration of the mutual covenants contained in the Agreement the parties hereto do hereby continue the Agreement in effect until August 1, 2002 and ratify and confirm the Agreement in all respects.
