Indemnification Agreements between NuPathe Inc. and Directors

NuPathe Inc. has entered into Indemnification Agreements with its current directors, including Michael Cola, Jeanne Cunicelli, Michael C. Diem, MD, Jane H. Hollingsworth, Richard S. Kollender, Gary J. Kurtzman, MD, Robert P. Roche, Jr., and Wayne P. Yetter. These agreements ensure that the company will protect and reimburse the directors for certain legal expenses and liabilities that may arise from their service as directors, subject to the terms outlined in the standard form of agreement previously filed with the SEC.
